THE MULTI-USE IP LAUNCH PROGRAM


The MindForce Multi-Use IP Launch Program is perfect for companies with a portfolio of IP, or IP that can be described as a platform technology, in which future multiple uses in one or more industries can be ascribed to it.

In this program, MindForce forms a Venture Launch Team, whose members are intentionally diverse in both industry experiences and functional expertise. The team is recruited from top-tier business talent, mainly from MBA GlobalNet's 18,000 members.

Our greatest strength is our ability to field high-caliber, targeted IP Teams for each market opportunity, as well as allow these same participants to provide insights on other market opportunities. This cross-discipline review and analysis brings fresh insights and perspectives.

Each client program will be structured based on the client's particular situation. In general, here is one sequential way MindForce and its Venture Team can get involved:

  • Perform Market Opportunity Assessment on the IP (or IP Portfolio)
    1. The Venture Team will conduct a Market Opportunity Assessment to discuss and discover all potential opportunities for the Client's technology, and rank order the opportunities with the highest likelihood of success and greatest market potential. The top-ranked opportunities that are designated either "high potential for license" or "high potential for spinout" will be considered.
  • Market Selected IP Opportunities To Find Licensees and Spinouts
      The Venture Team and client will select a subset of the "high potential" opportunities to pursue, and in which order. The team will prepare marketing materials, as needed, to promote these technologies in the MBA GlobalNet Entrpereneur Marketplace and business community. The Venture Team will also use its rolodex to seek out buyers or licensees.
  • Review Potential Licensee, Buyout and Spinout Proposals
    1. The Venture Team will work with companies who submit the best proposals to structure deals suitable to the client. The Venture Team will either be empowered to negotiate deals or hand over the deal to the client, when appropriate.
  • MindForce Can Team With Enterpreneur
    1. Unique to MindForce, the IP will be marketed also to enterpreneurs with the optional caveat of teaming with MindForce (and its talent resource base) to present a proposal to the client. If an entrepreneur wants to submit a proposal with MindForce, MindForce must receive the permission of the client. MindForce would, upon deal closing, forgoe its earned fees if this occurs.
    The Deal Structure

    MindForce (and its Venture Team) is compensated for their efforts through consulting fees, equity, and/or an ongoing role in the new venture.

    Mindforce will work with the client to structure the most appropriate working relationship based on the client's financial capabilities, projected MindForce role, upside potential of the IP, and the most likely economic structure to be used as a baseline for a deal.

    We are not adverse to structuring our deals with a low upfront fee for our initial marketing and analytical efforts (market assessments, writing business plan, sales packages, etc.) based on our involvement, but expect to be nicely compensated for the backend success.

    For a Newco spinout from the client, MindForce and our client have the option to either 1) create a holding company, which MindForce and the client would mutually own, or 2) to license the IP directly from the client
