Venture Team Spinout Program


Turning IP into a new venture is not an easy task. The MindForce Venture Team Spinout Program facilitates new venture creation by recruiting top-tier business professionals (from MBA GlobalNet's 18,000 members and other resources) into a Venture Team specific to a client's IP.

This team, usually a diverse group of cross-functional and industry professionals, posseses the subject matter expertise and industry experiences to assess the viability of the IP either 1) disrupting a marketplace, i.e. creating explosive sales through a Newco, 2) being accepted by industry as an incremental improvement or 3) not having enough benefits and features to impact the marketplace, i.e. when status quo wins.

MindForce acts as the Venture Producer, working with the client and Venture Team to find the IP's best outcome.

The goal of the Spinout Program is, as the same implies, to focus on IP that has disruptive qualities where the IP can support the creation of a new venture, a Newco. These technologies have a high upside potential, where the Venture Team can develop an actionable plan for a successful venture execution. On the other hand, the Venture Team will not shy away from recommending against forming a new venture, and finding the most suitable licensee(s).

Determining "Best Execution Plan" For The IP: New Venture, License, or Bust

MindForce does not assume that a new venture can be formed. MindForce, itself, needs to be convinced. Needless to say, our individual team members must be convinced.

Once formed, the Venture Team will work with the client (as much or as little as desired by the client) to determine the features and benefits of the IP, discern the markets with the greatest sales potential, and most importantly, to develop a blueprint for the IP and venture opportunity.

At this juncture, the Venture Team will provide a written analysis, as well as a proposal to either step up and form a Newco, itself, or to recommend the client shift gears and seek out a licensee(s).

If MindForce steps up, MindForce will recruit a management team to lead the venture either from within the Venture Team or externally, write a business plan, and start the process of seeking capital. Venture Team members may become advisors, too.

If MindForce recommends against a start-up, the client has the option to disengage from us, or have MindForce (and Venture Team) work to find a licensee(s). The team may be engaged by the client to develop the necessary sales package.

The Deal Structure

MindForce (and its Venture Team) is compensated for their efforts through consulting fees, equity, and/or an ongoing role in the new venture.

Mindforce will work with the client to structure the most appropriate working relationship based on the client's financial capabilities, projected MindForce role, upside potential of the IP, and the most likely economic structure to be used as a baseline for a deal.

We are not adverse to structuring our deals with a low upfront fee for our initial marketing and analytical efforts (best execution analysis, writing business plan, sales packages, etc.) based on our involvement, but expect to be nicely compensated for the backend success.

For a Newco spinout from the client, MindForce and our client have the option to either 1) create a holding company, which MindForce and the client would mutually own, or 2) to license the IP directly from the client
