Acquire Companies Based on Disruptive IP

Occasionally, under certain very specific circumstances, rather than licensing or selling one's intellectual property/technology, it may be possible and advantageous to obtain control of, or acquire, an existing operating company through which to capitalize upon the potential of a technology. Though the technology must fit a very specific profile in order to be utilized in this fashion, these opportunities are less rare than one might initially think.

Hare are three questions one needs to be able to answer in the affirmative before pursuing this strategy include:

  • Is there an existing product or service already in the market that the subject technology could immediately "de-commoditize?"

  • If so, is the industry sufficiently fragmented that more than one company can be identified providing that existing (commodity) product or service?

  • If so, are the competitors that comprise that market space sufficiently small ($10-100 million revenue) that utilizing the subject technology to de-commoditize their product or service could immediately and significantly affect that company's growth rates and profit margins?

If the answers to these questions are "yes," we'd like to talk to you about possibly jointly pursuing a technology-driven acquisition.
